This is the binding marketplace agreement presented to buyers at account creation and checkout. It defines ADI's marketplace-facilitator role, buyer responsibilities, seller responsibility for third-party products, evidence rules and the consumer-rights carve-out required by applicable law.

AMAZING DEALS INDIA BUYER MARKETPLACE AGREEMENT — VERSION ADI-BMA-v1-2026-09-17

1. PARTIES, MARKETPLACE MODEL AND ELECTRONIC ACCEPTANCE. This Buyer Marketplace Agreement is between the buyer electronically accepting it (Buyer or you) and Being Creative Commerce LLP, India, operating Amazing Deals India (ADI or Platform). ADI operates a technology marketplace through which independent third-party sellers can offer products to buyers. Unless a listing expressly identifies ADI itself as seller, the seller identified on the product/order record—not ADI—is the seller of the product. Your affirmative checkbox, typed acceptance name, submitted contact/account identity, agreement version and hash, timestamp, IP/network data, browser/device data and checkout/transaction records form the electronic acceptance record. This is an electronic-contract acceptance workflow and is not represented as Aadhaar eSign or a Digital Signature Certificate unless ADI separately enables such a service.

2. ADI'S FACILITATOR ROLE. For products sold by independent sellers, ADI facilitates discovery, catalogue display, checkout, payment coordination, customer support, trust/safety controls, dispute workflows and logistics coordination where offered. ADI does not become the manufacturer, owner, importer, distributor, warrantor or seller of a third-party product merely because ADI lists it, processes or coordinates payment, reserves stock, communicates order status, provides support or coordinates delivery. ADI remains responsible for duties that applicable law expressly imposes on a marketplace e-commerce entity and for obligations ADI specifically undertakes.

3. BUYER-SELLER SALE. The underlying product sale for a third-party listing is between Buyer and the seller identified on the order. The seller is responsible for the product supplied by that seller, including lawful source/title, authenticity, stated condition, description, quality, quantity, specifications, statutory declarations, invoices, seller/manufacturer warranties and seller-side fulfilment, subject to applicable law. ADI may assist in resolving a claim without becoming the product seller or independently guaranteeing the product.

4. PRODUCT INFORMATION AND CONDITION. You must review the product page, seller identity, price, quantity, variant, condition, included/excluded accessories, delivery information, return eligibility, warranty/guarantee information and any product-specific disclosure before ordering. Products may be new, open-box, refurbished, renewed, used, liquidation, damaged-packaging, delabelled or another disclosed condition. A disclosed condition is part of the transaction. Nothing permits a seller to conceal a material defect or make a misleading description.

5. ORDER CONSENT. An order is placed only through your explicit affirmative action. No consent will be recorded by a pre-ticked checkbox. By proceeding after accepting this Agreement, you request ADI to facilitate the order and payment flow with the relevant seller. Orders remain subject to stock, price, payment authorisation, fraud/compliance checks, delivery serviceability and seller fulfilment readiness.

6. BUYER IDENTITY, DELIVERY AND PAYMENT INFORMATION. You must provide accurate name, email, mobile number, delivery address and payment information and must have authority to use the payment method. You are responsible for losses or failed delivery caused by materially false or incomplete information you provide, except to the extent caused by ADI, the seller, logistics provider or payment provider. You must keep account credentials and one-time codes secure and promptly report suspected unauthorised use.

7. DELIVERY AND RECEIPT. You must provide a serviceable address and make reasonable arrangements to receive the shipment. Where applicable, inspect the outer package at delivery and promptly report visible tampering, wrong package, material transit damage or missing contents through ADI's support/return workflow. You should preserve relevant packaging, labels, serial/batch information and reasonable photo/video evidence until a reported issue is resolved. Failure to create optional unboxing video evidence by itself does not extinguish statutory consumer rights.

8. RETURNS, REFUNDS, REPLACEMENTS AND WARRANTIES. Returns, refunds, replacements and warranties are governed by applicable law, the Cancellation & Refund Policy, Shipping Policy, seller/manufacturer commitments and product-specific terms shown before purchase. A product described as non-returnable remains subject to remedies required by law for matters such as wrong, damaged, defective, counterfeit, unsafe or materially misdescribed goods. ADI may coordinate the process, evidence review, reverse pickup, seller response, replacement or refund as marketplace facilitator.

9. CLAIM ACCURACY AND COOPERATION. Any complaint, return, refund, replacement, non-delivery, damage, counterfeit or chargeback claim must be truthful and made in good faith. You agree to provide reasonable information and evidence available to you and to cooperate with a legitimate investigation. You must not intentionally destroy or alter relevant evidence after raising a claim, substitute a different item, return an incomplete or different product, misstate condition, fabricate damage, misuse a product and attribute that misuse to the seller, or make duplicate recovery claims through multiple channels for the same loss.

10. ABUSIVE RETURNS, FRAUD AND PLATFORM MISUSE. You must not create fake orders, use false identities, abuse coupons/referrals, manipulate reviews, collude with sellers, initiate knowingly false chargebacks, claim non-receipt after confirmed receipt, return counterfeit/substituted goods, scrape restricted data, attack platform security, harass sellers or support personnel, or use ADI to facilitate unlawful activity. ADI may restrict accounts, transactions, promotions, refunds pending verification, or access where reasonably necessary to investigate fraud, protect users or comply with law. Legitimate consumer complaints and lawful chargebacks are not prohibited.

11. PAYMENT AND REFUNDS. Payments may be processed through authorised payment service providers. You authorise processing of transaction information necessary to complete payment, verification, refunds and disputes. ADI will not treat a browser redirect alone as proof of payment where server-side verification is required. Accepted refunds will be processed within the period required by applicable law/payment rules and the applicable refund workflow.

12. CANCELLATION. Cancellation rights and any charges are governed by applicable law and disclosed order terms. ADI will not impose a consumer cancellation charge in a manner prohibited by applicable e-commerce rules. Seller- or ADI-initiated cancellations may occur for stock, price/listing error, payment failure, fraud/security, legal/compliance or delivery-serviceability reasons, with remedies provided as required by law and policy.

13. REVIEWS AND CONTENT. Reviews and uploaded content must reflect genuine experience and must not be fraudulent, defamatory, abusive, manipulated, infringing or unrelated. You grant ADI a non-exclusive licence to host, display and use such content as reasonably necessary to operate, improve and promote the marketplace, subject to applicable privacy and IP law.

14. DATA, COMMUNICATIONS AND RECORDS. ADI may process and retain buyer, transaction, support, device, security and agreement-acceptance data for order fulfilment, payment, support, fraud prevention, legal compliance, audit and dispute handling in accordance with applicable privacy law and ADI's Privacy Policy. You consent to transactional communications through the contact channels you provide, subject to applicable law and your communication preferences where relevant.

15. ELECTRONIC EVIDENCE. You agree that authenticated account records, checkout submissions, agreement version/hash, timestamps, IP/network information, browser/device information, payment records, order records, support communications, delivery events, uploaded evidence and related electronic records may be preserved and used as evidence, subject to applicable law and evidentiary rules. ADI may retain prior agreement versions and acceptance records even if the Agreement is later updated.

16. NO INDEPENDENT ADI PRODUCT WARRANTY. Unless ADI is expressly identified as seller or separately gives a written warranty, ADI does not provide an independent manufacturer/seller warranty for a third-party product. Product warranties and guarantees are those of the identified seller/manufacturer as stated and required by law. ADI does not warrant that a third-party product will satisfy a subjective preference when it materially matches its disclosed description and condition, without limiting remedies for defect, misdescription or other rights under law.

17. LIMITATION OF ADI RESPONSIBILITY. To the maximum extent permitted by law, ADI is not responsible for losses arising solely from seller-controlled manufacturing, product source/title, authenticity, hidden defect unknown to ADI, seller warranty, seller inventory accuracy, seller packaging or seller fulfilment, except where ADI is independently responsible under applicable law or has separately undertaken the relevant obligation. ADI is not liable for indirect or consequential loss where such limitation is lawful. Nothing in this Agreement excludes liability or consumer rights that cannot lawfully be excluded or limited.

18. THIRD-PARTY SERVICES. Payments, logistics, communications and other functions may involve regulated or independent third-party service providers. Their acts remain subject to their applicable terms and law. ADI's integration or coordination does not make ADI the principal provider of every third-party service, while ADI remains responsible for its own obligations and mandatory marketplace duties.

19. SUSPENSION AND TERMINATION. ADI may restrict or suspend an account or transaction for material breach, fraud, abuse, security risk, legal/regulatory requirement or repeated platform misuse. Where appropriate and lawful, ADI will provide information about the restriction and available support/grievance channels. Outstanding orders, refunds, disputes and legally required records may survive account closure.

20. CHANGES AND RENEWED ACCEPTANCE. ADI may update this Agreement prospectively to reflect legal, operational or service changes. Where a material new version requires renewed acceptance, ADI may require that acceptance before a new order is placed. The version accepted for a transaction will remain preserved with the acceptance record.

21. CONSUMER RIGHTS. Nothing in this Agreement waives, restricts or replaces rights and remedies that cannot lawfully be waived under the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, or other applicable Indian law. If a provision conflicts with mandatory law, the mandatory law controls and the provision is limited only to the minimum extent necessary.

22. GOVERNING LAW, GRIEVANCE AND JURISDICTION. This Agreement is governed by applicable laws of India. You may use ADI's grievance-redressal process for marketplace complaints. Nothing in this Agreement removes the jurisdiction of a consumer commission, regulator, court, tribunal or other authority where applicable law gives it jurisdiction.

23. GENERAL. This Agreement, ADI's Terms of Use, Privacy Policy, Shipping Policy, Cancellation & Refund Policy, product-specific disclosures and transaction-specific terms together govern the relevant marketplace use and transaction. If a product-specific term conflicts with this Agreement, mandatory law controls first, then the more specific lawful transaction term applies to that subject. Invalid provisions are severed to the minimum extent necessary; failure to enforce once is not a waiver.
